Terms of Service for Qoris AI

1. Introduction

By accessing or using the Qoris AI service ("Service"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, you may not use the Service.

2. Service Description

Qoris AI provides an AI-powered chat widget and platform that allows you to:

• Train an AI on your website content and documents.
• Engage website visitors in multiple languages.
• Qualify leads through intelligent conversation.
• Automatically book appointments in your calendar via a Calendly integration.
• Access analytics and conversation history in your dashboard.
• Connect external cloud data sources, such as Google Drive (via our integration partner Nango), and select specific files to add as knowledge for your agents.

The Service is provided according to the usage limits (e.g., messages, bookings, crawled pages) of your chosen subscription plan.

3. User Accounts

To use the Service, you must register for an account. You agree to provide accurate and complete information and to keep this information up-to-date. You are responsible for all activities that occur under your account. You may disconnect third-party integrations (such as Google Drive) and delete knowledge content you have added (including content imported from those integrations) at any time through the Service, and you may request deletion of your account, in which case we will delete your personal data and associated knowledge content from our active systems, subject to any legal retention requirements.

4. Content Ownership and License

Your Content: You retain all ownership rights to the content you provide to the Service, including website URLs, documents, data imported from third-party services such as Google Drive, and other data ("Your Content").

License to Us: By using the Service, you grant Qoris AI a worldwide, non-exclusive, royalty-free license to use, process, and display Your Content solely for the purpose of providing and improving the Service, including indexing and transforming Your Content (for example, extracting text and generating embeddings) so that your agents can search and answer questions based on it.

5. Acceptable Use Policy

You agree not to use the Service to:

• Upload or transmit any unlawful, harmful, or fraudulent content.
• Violate the privacy or rights of others.
• Reverse-engineer, decompile, or otherwise attempt to disrupt the integrity or performance of the Service.
• Upload any sensitive personal information not required for the Service to function.
• Connect third-party accounts (including Google Drive) or ingest content from those accounts unless you have all necessary rights, permissions, and legal bases to do so.

6. Payments, Subscriptions, and Refunds

• Fees: All subscription fees are billed in U.S. Dollars, in advance, on a monthly or annual basis. You are responsible for any applicable taxes.
• Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period, and you will not be charged again.
• No Refunds: All payments are non-refundable, and we do not provide refunds or credits for partial subscription periods or unused services, except where required by law.
• Free Trials: Charges begin automatically after the free trial period unless you cancel before it ends.
• Billing Disputes: If you believe you have been billed in error, you must contact us at support@qoris.ai within 30 days of the charge. Initiating a chargeback without contacting us first may result in immediate account termination.

7. Third-Party Services

The Service integrates with third-party services like Clerk, OpenAI, Calendly, Nango, and Google (including Google Drive and related Google APIs). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the performance or availability of any third-party services, and they are not responsible for the operation of Qoris AI. Our use and transfer of information received from Google APIs will comply with Google’s applicable policies and is limited to what is necessary to provide and improve the Service.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

• AI Limitations: The AI may occasionally provide inaccurate, incomplete, or biased responses. You should not rely on the AI for legal, financial, or medical advice.
• Translation Accuracy: AI-powered translations may contain errors or inaccuracies. We are not liable for any issues arising from translation errors.
• Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, QORIS AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF YOUR USE OF THE SERVICE.

9. Termination

We reserve the right to suspend or terminate your account at any time for any reason, including for a violation of these Terms or failure to pay fees.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA. Any disputes arising from these Terms will be resolved through binding arbitration in Delaware.
